The successful candidate will be a key player in our organization, providing legal support and advice on a wide range of corporate matters including mergers and acquisitions (M&A), venture capital financing, private equity, due diligence, and securities.

Job Details
Responsibilities:
1. Provide comprehensive legal support and advice to the business on a wide range of corporate matters, ensuring compliance with company policies and applicable laws and regulations.
2. Lead and manage due diligence processes related to M&A transactions, venture capital financing, and private equity investments.
3. Draft, review, and negotiate a variety of complex legal documents and contracts, including merger agreements, stock purchase agreements, and financing agreements.
4. Advise on securities law matters, including SEC filings and compliance with federal and state securities laws.
5. Collaborate with cross-functional teams, including finance, business development, and operations, to identify and mitigate legal risks and ensure the successful execution of strategic initiatives.
6. Stay current on industry trends, laws, and regulations, and provide proactive legal advice and training to the business.
Qualifications:
1. Juris Doctor (JD) degree from an accredited law school.
2. Admission to the state bar.
3. A minimum of 5 years of experience as a corporate attorney, preferably in a law firm or in-house legal department.
4. Proven experience in M&A, venture capital financing, private equity, due diligence, and securities law.
5. Excellent negotiation, drafting, and analytical skills, with a keen attention to detail.
6. Strong business acumen and the ability to understand and navigate complex business issues.
7. Outstanding communication and interpersonal skills, with the ability to effectively communicate complex legal concepts to non-legal personnel.
8. Ability to work independently and handle multiple projects simultaneously in a fast-paced environment.
9. High level of professionalism and integrity, with a commitment to delivering high-quality work.
