Job Details

Responsibilities:

1. Provide legal advice and support on a wide range of corporate legal matters.
2. Draft, review, and negotiate a wide variety of corporate documents such as merger and acquisition agreements, partnership agreements, stock purchase agreements, and other related documents.
3. Advise on corporate governance matters, including the drafting and review of corporate resolutions, board and committee charters, and policies.
4. Provide legal counsel on a broad range of corporate matters such as corporate structure, legal rights, obligations, and privileges.
5. Assist with the preparation and filing of all required legal documents with appropriate entities.
6. Oversee due diligence processes and provide advice on risk management and mitigation.
7. Collaborate with other departments to ensure legal compliance across the organization.
8. Develop and maintain an understanding of the business and its needs, and stay updated on relevant laws and regulations.

Qualifications:

1. Juris Doctor (JD) degree from an accredited law school.
2. A minimum of 5 years of experience in corporate law
3. Admission to the IL state bar.
4. Excellent legal drafting skills and strong negotiation abilities.
5. Proven experience in managing multiple, complex matters in a fast-paced environment.
6. Exceptional analytical and decision-making skills.
7. Excellent communication skills, both verbal and written, with the ability to interact effectively with all levels of the organization.
8. High level of professionalism and confidentiality.
9. Strong understanding of corporate governance issues and corporate secretarial duties.
10. Ability to work independently and as part of a team.
