Job Details

The firm is seeking a Corporate Associate with 4+ years of experience to join its growing transactional practice. The ideal candidate will have substantial experience handling mergers and acquisitions and other complex business transactions for privately held companies and business owners.

Responsibilities
Represent buyers, sellers, investors, and business owners in mergers, acquisitions, divestitures, and strategic transactions.
Draft, review, and negotiate purchase agreements, operating agreements, shareholder agreements, joint venture agreements, and related transaction documents.
Conduct and coordinate legal due diligence efforts and assist clients in identifying and mitigating transaction risks.
Advise clients on transaction structuring, corporate governance matters, and post-closing obligations.
Assist with asset purchases, stock purchases, mergers, recapitalizations, and business succession transactions.
Work closely with tax advisors, accountants, lenders, and other professionals to facilitate successful deal execution.
Support clients through all phases of a transaction, including planning, negotiation, diligence, closing, and post-closing integration matters.
Provide ongoing counsel to closely held businesses regarding general corporate and commercial matters.

Qualifications
J.D. from an accredited law school and active bar admission.
4+ years of corporate transactional experience, including significant M&A experience.
Experience drafting and negotiating complex transaction documents.
Strong due diligence, analytical, and issue-spotting skills.
Experience representing privately held companies, business owners, investors, or family-owned businesses preferred.
Excellent written and verbal communication skills.
Ability to manage client relationships and work directly with sophisticated business clients.
Strong attention to detail, sound judgment, and a practical business-oriented approach to problem solving.
