Interim Commercial Counsel (Generalist, Transactional Focus)

About the Opportunity

Elevate is partnering with a privately held, multi-entity operating company in a dynamic, growth-oriented environment to identify an experienced Interim Commercial Counsel. This organization supports a diverse portfolio of business operations and requires a pragmatic, business-minded legal professional to provide hands-on support across a range of in-house matters.

This engagement is designed to provide coverage for a Director of Legal Affairs who will be on leave, with direct support to the SVP, Enterprise Legal Affairs.

Engagement Details

• Duration: approximately 4 months
• Schedule: Full-time, hybrid (3 days onsite / 2 days remote)
• Location: Corona del Mar, CA
• Focus: Transactional / Commercial Counsel with generalist responsibilities

Position Overview

The Interim Commercial Counsel will serve as a key member of the legal team, providing broad in-house legal support with a strong emphasis on commercial transactions, alongside exposure to litigation management, employment advisory, and operational legal matters. This role requires a proactive, adaptable attorney who can operate both independently and collaboratively in a fast-paced environment.

Key Responsibilities

Commercial Contracting

• Review, draft, and negotiate a variety of commercial agreements, including technology, vendor, and services contracts
• Provide guidance on real estate-related agreements as needed

Litigation Management

• Coordinate with outside counsel on active litigation matters
• Serve as a liaison between external counsel, internal stakeholders, and paralegal resources
• Track and support ongoing case management efforts

Legal Research & Writing

• Conduct research across a range of legal and regulatory issues
• Prepare clear, well-organized legal memoranda, summaries, and actionable recommendations

Employment & Operational Advice

• Provide day-to-day guidance on employment matters, including wage and hour issues
• Advise business teams on operational and legal considerations

Risk & Compliance Support

• Assist in identifying legal risks and developing mitigation strategies
• Support compliance initiatives and internal advisory efforts

Project & Cross-Functional Support

• Contribute to legal and operational projects across the organization
• Partner with cross-functional teams on planning, execution, and compliance-related initiatives

Qualifications

• Juris Doctor (JD) and active U.S. bar license in good standing
• Prior in-house legal experience required
• Strong generalist background, with experience in employment and wage/hour advisory
• Demonstrated experience managing litigation matters and working with outside counsel
• Experience reviewing and negotiating commercial agreements
• Excellent legal research, writing, and analytical skills
