Compensation

$260,000 – $390,000+

A nationally recognized AmLaw 100 firm is seeking a Capital Markets & Securities Associate Attorney to join its New York office.

This opportunity is ideal for an attorney interested in representing public companies, investment banks, issuers, institutional investors, and other market participants in sophisticated capital markets transactions and securities law matters.

Ideal Background

3+ years of capital markets and securities law experience gained at a sophisticated law firm

• Experience representing public companies, investment banks, issuers, institutional investors, and underwriters in complex capital markets transactions

• Experience handling public and private securities offerings, including common stock, preferred stock, convertible securities, warrants, at-the-market (ATM) offerings, and other equity and debt financings

• Experience advising clients on alternative public market transactions, including de-SPACs, reverse mergers, direct listings, and other strategic capital markets transactions

• Experience counseling public companies regarding SEC reporting obligations, Securities Act and Exchange Act compliance, corporate governance, disclosure requirements, and stock exchange listing standards

• Experience drafting and negotiating registration statements, offering documents, underwriting agreements, purchase agreements, disclosure documents, and related transaction materials

• Strong understanding of U.S. securities laws, SEC regulations, and NYSE/Nasdaq listing requirements

• Strong drafting, analytical, negotiation, organizational, and communication skills

• Ability to independently manage multiple sophisticated matters while maintaining significant client interaction

• Excellent academic credentials

J.D. from an ABA-accredited law school required

New York bar admission required
