Summary
Reporting to the Vice President and General Counsel, the Associate General Counsel will manage and advise on all legal aspects of assigned contracts, transactions, and corporate matters handled by the Office of the General Counsel ("OGC"). This includes drafting, reviewing, and negotiating healthcare agreements of all types, ensuring compliance with healthcare regulations, and identifying and mitigating legal risks associated with contracts, corporate governance, and transactions in a healthcare setting. A successful candidate will work directly with operational stakeholders across multiple healthcare facilities to assure business needs are properly addressed in contracts and transactions and will assist with corporate and contract-related disputes.
Responsibilities
Core Duties
- Manages and provides appropriate advice and counseling on contract, corporate, and business litigation matters of all types.
- Performs legal and other research on corporate and healthcare law issues.
- Prepares, reviews, negotiates, and tracks legal documents related to acquisitions, joint ventures, physicians / physician practices, real estate matters, and other corporate transactions.
- Prepares, negotiates, and reviews healthcare and corporate agreements of all types.
- Communicates with internal and external parties as appropriate regarding contracts, governance, or transactional needs.
- Supports the OGC in all matters, providing support to other OGC attorneys and staff as needed.
- Performs various project management functions related to contract and corporate transactions or other needs of the department.
- Maintains and files corporate documents as necessary for Vandalia Health, Inc. and its subsidiaries and affiliates.
Additional Responsibilities
- Interacts and communicates effectively and diplomatically with internal and external customers.
- Maintains compliance with internal policies and external regulatory guidelines, such as HIPAA, tax-exemption, and applicable fraud and abuse laws.
- Proficient in drafting and reviewing contracts, corporate documents, and other legal and business records.
- Promotes and contributes positively to the teamwork of the OGC by assisting co-workers, contributing ideas, and participating in process improvement initiatives.
- Highly organized and attentive to detail.
- Attends and participates in staff meetings and discussions to plan and implement departmental and organizational changes.
Education and Experience Requirements
Education
- Juris Doctorate degree from an accredited law school and admitted to the West Virginia State Bar.
Experience
- 10 years' experience in a private law firm, governmental agency legal department, or in-house legal department preferred.
Working Conditions
- Available during regular business hours with periodic evenings or weekends.
- Some in-state travel possible.
- Option of remote or hybrid work available in appropriate circumstances.

- Current knowledge of healthcare laws, rules, and regulations.
- Demonstrated success prioritizing and managing multiple assignments.
- Exceptional oral and written communication skills, and the ability to establish and maintain positive and collaborative working relationships with in-house and external counsel, clients, and staff.
- Excellent legal research, analysis, and problem-solving skills.
- Experience with NetDocuments preferred.
