Roch Capital, a privately held capital management firm headquartered in Glen Mills, PA is seeking a Corporate Attorney to join the company.
The VP, Corporate Counsel Attorney serves as internal legal counsel to Roch Capital and affiliated entities ("Company"), providing Legal advice to the Company in the areas of corporate oversight, financial services regulations, real estate transactions, trust administration and planning, intellectual property, litigation matters, human resources, and general commercial issues.
Essential Functions:
- Manage litigation matters by analyzing the merits of the claim and determining the manner in which to proceed, taking into consideration the economic, business and reputational risks involved.
- Analyze company's current and proposed business initiatives in order to ensure that Company management is adequately informed about the legal risks and/or opportunities associated with those initiatives.
- Provide guidance and support to Company's regulatory compliance program to minimize Company's exposure to litigation, regulatory agency scrutiny and financial liability.
- Protect and promote the interests of Company by negotiating, drafting, reviewing and/or approving business agreements that facilitate Company's business objectives.
- Oversee Trust Administration in conjunction with Trustees and outside legal resources.
- Oversee document retention and storage.
- Review and coordinate strategic estate planning.
- Coordinate with operational departments to resolve legal issues that arise and provide advice and comment on operational policies and procedures as needed.
- Coordinate with outside counsel when issues to be resolved require expert knowledge.
- Conduct legal research and provide analysis of laws and regulations that affect the Company.
- Review and recommend payment of invoices from outside counsel.
- Review litigation matters and prioritize internal disposition of related matters that will be addressed in-house.
- Assist in real estate transactions including leasing, financing, and disposition.
- Review other matters sent to the department for review and set priority of accomplishment.
- Prepare/Oversee production of litigation summary/ analysis reports for executive management and board of directors.
Education & Work Experience:
- Bachelor's degree (B.A.) from an accredited four-year college or university plus Juris Doctorate degree.
- Three years or more law firm or corporate experience.
- Experience with Real Estate and Trust law a plus
