Jobot is working with a well-established full-service business law firm headquartered in New York City seeking a Corporate Securities Attorney (5+ years) to join its established and growing corporate practice.

This is an opportunity to work directly with senior partners and sophisticated public and private company clients on high-level securities, governance, and transactional matters — without the bureaucracy of a large institutional platform.

This role is ideal for an attorney currently at an AmLaw or strong regional firm seeking greater client access, substantive responsibility, and meaningful involvement in strategic decision-making.

Job Details

Responsibilities
  • Lead drafting and review of SEC filings (10-Ks, 10-Qs, 8-Ks, proxy statements, registration statements, Section 16 filings)
  • Advise clients on public company reporting obligations and disclosure controls
  • Counsel boards and executive leadership on governance frameworks and compliance matters
  • Support capital markets transactions and related due diligence efforts
  • Provide securities and disclosure analysis in connection with M&A and strategic transactions
  • Interface directly with clients, auditors, underwriters, and other advisors

Qualifications
  • 5+ years of corporate securities experience at a law firm and/or in-house
  • Strong public company reporting experience and SEC drafting proficiency
  • Experience supporting capital markets transactions
  • Familiarity with governance counseling at the board or executive level
  • Ability to independently manage matters and maintain direct client relationships
  • Admitted to practice in New York
