Job Details

We are seeking a senior-level attorney to join our Tax practice as Counsel. This role is designed for a seasoned transactional tax lawyer who is comfortable leading complex matters and serving as a key advisor on sophisticated deal structures. The position offers substantial responsibility advising on fund-related tax matters, mergers and acquisitions, and cross-border investments, while working closely with corporate, private equity, and emerging company teams.

Responsibilities
  • Advise on tax aspects of fund formation, structuring, and ongoing operations
  • Lead tax analysis and structuring for mergers, acquisitions, divestitures, and other strategic transactions
  • Provide guidance on cross-border investments and international transaction planning
  • Counsel startups and founders on tax-efficient structuring and growth-stage considerations
  • Collaborate with corporate and transactional teams to deliver integrated deal advice
  • Communicate directly with clients, investors, and internal stakeholders on complex tax matters

Qualifications
  • 7–8 years of transactional tax experience at a major law firm or accounting firm
  • Significant experience with private funds and M&A-related tax issues
  • Demonstrated ability to independently manage and advise on sophisticated transactions
  • Strong analytical skills and practical business judgment

Requirements
  • Admission to the New York or New Jersey bar
  • Excellent academic credentials
  • Clear and effective written and verbal communication skills
  • Ability to manage multiple complex matters in a fast-paced environment
