Description:
The Senior Corporate Counsel is a key member of the in‑house legal team, reporting to the General Counsel. In this role, you will provide advanced legal guidance across operational, transactional, and regulatory matters for the credit union and its subsidiaries. You will lead complex contract negotiations, support enterprise risk initiatives, manage disputes, and serve as a strategic legal advisor across the organization. You will also mentor junior counsel and contribute to high‑impact decision‑making that supports long‑term organizational goals.
Responsibilities
Legal & Regulatory Advisory
- Provide legal, regulatory, compliance, and risk management guidance across all business operations.
- Review, negotiate, and advise on moderate‑ to high‑risk transactions, including:
- Vendor and procurement contracts
- Commercial real estate acquisitions and leases
- Construction agreements
- Marketing and sponsorship agreements
- Software, technology, and licensing agreements
- Update and draft corporate governance documents, organizational materials, and operational policies to align with legal requirements and industry best practices.
- Advise on legal, compliance, and risk considerations related to credit union products, services, and operations.
Risk & Vendor Management
- Conduct cross‑functional assessments of legal, regulatory, and financial risks associated with vendor engagements.
- Recommend risk mitigation strategies for moderate‑ to high‑risk vendor relationships.
Litigation & Dispute Resolution
- Represent the organization in contested or complex matters, including managing deadlines, preparing filings, overseeing discovery, and engaging in direct negotiations with opposing counsel to resolve disputes efficiently.
Internal Investigations & Compliance
- Lead and oversee internal investigations involving employment issues, ethics concerns, compliance violations, and sensitive or escalated employee complaints.
- Interview witnesses, document findings, assess legal exposure, and recommend corrective actions or risk‑based strategies.
- Draft and review responses to regulatory agencies on member complaints, inquiries, and enforcement matters, ensuring accuracy, consistency, and internal alignment.
Cross‑Functional Leadership
- Collaborate with teams across the organization—including Compliance, Risk, HR, Operations, and Procurement—to provide actionable legal insight.
- Mentor junior legal staff and contribute to departmental process improvements.
