Job Details
Responsibilities:
1. Advise on a broad range of securities and corporate law matters, including public and private securities offerings, corporate governance, SEC reporting, and mergers and acquisitions.
2. Draft and review legal documents, such as prospectuses, SEC filings, and corporate resolutions.
3. Provide legal advice and support to senior management, board members, and other stakeholders on securities and corporate law matters.
4. Conduct legal research and analysis to stay abreast of changes in securities and corporate law.
5. Develop and implement legal strategies to protect the company's interests and ensure compliance with securities laws and regulations.
6. Provide training and guidance to other members of the legal team on securities and corporate law matters.
7. Collaborate with other departments, such as finance and compliance, to ensure the company's operations are in line with securities laws and regulations.
Qualifications:
1. Juris Doctor (JD) degree from an accredited law school.
2. Admission to the state bar.
3. A minimum of 8 years of experience as a securities/corporate attorney, preferably in a law firm or corporate legal department.
4. Extensive knowledge of securities and corporate law, including the Securities Act of 1933, the Securities Exchange Act of 1934, and the Sarbanes-Oxley Act.
5. Strong experience with public and private securities offerings, SEC reporting, corporate governance, and mergers and acquisitions.
6. Excellent legal research and writing skills.
7. Strong negotiation and communication skills.
8. Ability to work independently and as part of a team.
9. High degree of professional ethics and integrity.
10. Ability to manage multiple tasks and meet deadlines in a fast-paced environment.
