About the Role

As a Corporate Associate, you will be at the heart of the deal cycle, advising a sophisticated roster of private equity sponsors, strategic acquirers, and institutional investors. You will navigate the complexities of large-scale buy-side and sell-side mandates, providing the technical precision and commercial insight required to close "bet-the-company" transactions. This role offers the unique combination of global scale and a collaborative, team-oriented environment.

Key Responsibilities

  • Transaction Leadership: Execute all phases of complex M&A and Private Equity transactions, from initial due diligence to post-closing integration.
  • Drafting & Negotiation: Lead the drafting and negotiation of principal transaction documents, including purchase agreements, merger agreements, and related equity and debt documents.
  • Strategic Advisory: Counsel clients on corporate governance, fiduciary duties, and general business matters across a variety of industry sectors.
  • Project Management: Coordinate multi-disciplinary teams (Tax, IP, ERISA, etc.) to ensure seamless execution of multi-jurisdictional deals.
  • Relationship Management: Serve as a primary point of contact for sophisticated clients, ensuring high-touch service and commercial alignment.

Requirements

  • Experience: 3–5 years of dedicated M&A and/or Private Equity experience at a leading large-market law firm.
  • Technical Mastery: Proven ability to draft and negotiate complex transaction agreements with minimal supervision.
  • Skills: Superior analytical, organizational, and communication skills; a meticulous eye for detail in a fast-paced environment.
  • Academic Credentials: Distinguished academic record from a top-tier law school.
  • Bar Admission: Active member in good standing of the bar in the jurisdiction for which you are applying.
