Job Details
Responsibilities:
1. Assist in drafting, reviewing, and negotiating a wide range of corporate documents including operating agreements, stock purchase agreements, merger agreements, and other related documents.
2. Conduct due diligence in M&A transactions, identifying potential legal risks and devising mitigation strategies.
3. Provide legal advice on a broad array of corporate matters including corporate governance, compliance issues, and business strategies.
4. Collaborate with cross-functional teams to ensure all legal and regulatory requirements are met during transactions.
5. Develop and maintain strong relationships with clients, providing them with timely and insightful legal advice.
6. Keep abreast of legislative changes that may affect the company and its clients.
7. Support the continuous improvement of standard form agreements and legal processes.
Qualifications:
1. Juris Doctor (JD) degree from an accredited law school.
2. A minimum of 3-5 years of experience in corporate law with a focus on M&A transactions.
3. Admission to the state bar.
4. Proven experience in drafting and negotiating complex corporate documents including operating agreements and stock purchase agreements.
5. Strong understanding of corporate governance issues and compliance matters related to M&A.
6. Excellent legal research and writing skills.
7. Outstanding negotiation and interpersonal communication skills.
8. Ability to manage multiple priorities, work under pressure, and meet tight deadlines.
9. Strong analytical and problem-solving skills with a keen eye for detail.
10. High level of professionalism and confidentiality.
