Initiating a search for an In House / General (Legal) Counselfor a mid-sized, well thought of and aggressively-growing (organic and M&A) company headquartered in Omaha, NE. Position will report to the President, be an integral part of the the senior leadership team and serve as a trusted legal advisor in both supporting and helping to facilitate the company’s aggressive growth targets.
KEY RESPONSIBILITIES
- Lead all legal (including risk management/risk mitigation) matters.
- Lead and oversee M&A transactions.
- Draft, review, and/or negotiate transaction documents with internal and external support.
- Provide strategic and tactical legal guidance to the Corporate Development team on potential transactions and growth initiatives.
- Collaborate cross-functionally with internal teams, including Legal, Corporate Development, Compliance, Diligence, Integrations, Operations, and Finance, to ensure seamless execution.
- Identify and mitigate legal, compliance, and operational risks.
- Manage outside counsel relationships, ensuring high-quality work product and cost efficiency.
- Prioritize and manage a high-volume workflow, meeting deadlines in a fast-paced environment.
- Contribute to process improvements and best practices for transaction execution and integration.
- Advise on employment law compliance, corporate governance, intellectual property protection and asset protection strategies.
- Retain and manage outside counsel and specialized legal subject matter experts when issues fall outside internal expertise.
- Stay current on federal, state, and regulatory legal changes through ongoing CLE and professional development.
- Provide level of confidence on all legal matters with regards to addressing any legal issues internally or whether it needs to be outsourced to a legal subject matter expert.

QUALIFICATIONS
- Juris Doctor (JD) from an accredited law school with strong academic credentials.
- Active license to practice law in at least one U.S. state.
- 10+ years post-qualification professional legal experience.
- Proven experience with mergers & acquisitions and post-M&A integration.
- Strong analytical skills with the ability to balance legal and business risks and deliver practical solutions.
- Demonstrated business acumen, sound judgment, and adaptability to meet organizational needs.

Salary $160K to $190K, up to 40% cash bonus potential, potential for LTi (equity) and an attractive fast-paced/entrepreneurial culture work environment.
