Overview
Komar, a global leader in apparel design, manufacturing, and distribution for iconic licensed brands (including Disney, Sanrio, and Warner Bros. Discovery), is seeking an experienced Contract Compliance Administrator to join our Licensing & Legal Operations team.
This role supports Komar’s licensing portfolio by ensuring that contractual obligations are captured, managed, and executed across our enterprise systems. The ideal candidate is an expert in contract lifecycle management with a strong understanding of intellectual property, licensing law, royalty structures, compliance frameworks, and audit negotiation. They will play a pivotal role in managing our royalties contract management system, driving compliance with licensor requirements, and reducing contractual risk to the business.

Key Responsibilities

Contract Lifecycle Management
  • Serve as the primary administrator and subject matter expert for Komar’s licensing and royalties contract management platform.
  • Draft, review, and maintain licensing agreements, amendments, and renewals in partnership with Licensing and Finance teams.
  • Ensure all contracts are accurately captured, tagged, and categorized within the system, including metadata for licensor, brand, territory, product category, royalty structure, and approval requirements.
  • Oversee version control, clause tracking, and full audit trail maintenance.
  • Building and maintaining relationships with key stakeholders resulting in effective decision-making and risk management within the licensing framework.
Licensing & Royalty Compliance
  • Interpret complex contractual terms and obligations (e.g., minimum guarantees, tiered royalty rates, caps, audit rights, approval workflows) and ensure they are accurately reflected in operational systems.
  • Identify and mitigate business risks related to contract terms and performance.
  • Proactively monitor and track contractual obligations, including reporting deadlines, renewals, minimum ad spend requirements, pre-approval conditions, and geographic restrictions.
  • Facilitate internal compliance by generating and distributing compliance checklists and obligation summaries to relevant departments.
  • Coordinate with finance and ERP teams to align contract terms with royalty calculation processes and payment schedules.
System Administration & Process Ownership
  • Lead day-to-day administration of the royalties contract management solution, including user provisioning, role-based access control, and escalation workflows.
  • Configure alerts and automated notifications for key contractual events (e.g., renewals, reporting deadlines, obligation thresholds).
  • Collaborate with IT and Operations teams to ensure system integrations (ERP, PLM) support seamless data flow and reporting.
  • Support data ingestion and validation efforts for legacy contract migration, including OCR/NLP extraction accuracy reviews.
Governance, Risk & Reporting
  • Maintain comprehensive audit trails for all contract actions and approvals.
  • Support internal and external audits, providing documentation and evidence of compliance as needed.
  • Generate and distribute royalty and compliance reports for licensors, brand managers, and executive stakeholders.
  • Contribute to continuous improvement by identifying process inefficiencies and recommending enhancements to workflows, system capabilities, or policy documentation.

Qualifications

Required:
  • Bachelor’s degree in Business, Legal Studies, or related field.
  • 5+ years of experience in contract administration, licensing, or legal operations, preferably in apparel, consumer products, entertainment, or IP-heavy industries.
  • Strong understanding of intellectual property licensing, royalty agreements, and commercial contract law.
  • Proven experience managing contract lifecycle management (CLM) systems or royalties management platforms.
  • Exceptional organizational skills and attention to detail, with the ability to manage a high volume of complex agreements.
  • Excellent written and verbal communication skills, including the ability to distill legal terms into actionable internal guidance.
  • Must exhibit the ability and desire to be proactive, customer-focused, confidential, ethical, reliable, accountable, accurate, flexible and able to work as a team player in an ambiguous environment.
Preferred:
  • JD, paralegal certification, or equivalent legal training.
  • Experience with OCR/NLP-driven contract data extraction tools and AI-powered clause analysis.
  • Familiarity with apparel/CPG systems
  • Prior involvement in system implementation or large-scale contract migration projects.

Compensation
The anticipated base salary range for this position is $100,000 – $130,000 annually.
This range represents the good-faith estimate of the pay the employer reasonably expects to offer upon hire, based on the role’s responsibilities, required experience, location, and internal equity.
Incentives & Benefits
This position may be eligible for discretionary, performance-based bonuses and participation in applicable incentive programs. The role also offers a comprehensive benefits package, which may include medical, dental, and vision coverage, retirement plans, paid time off, parental leave, and other employee benefits, subject to eligibility requirements.
Additional Compensation
Equity awards, profit sharing, or other forms of non-cash compensation are not included in the posted pay range and, where applicable, will be discussed during the interview or offer process.
