About the Firm
A medium-sized law firm with a diverse, client-focused corporate practice. The firm operates in a collaborative, non-siloed environment where attorneys are encouraged to handle a broad range of responsibilities rather than being confined to a single practice area. The firm prides itself on long-term client relationships and the ability to provide flexible, comprehensive legal support across a variety of matters.
About the Role
We are seeking a mid-level to senior associate to join our corporate practice group. This is a great opportunity for an attorney who wants to be genuinely involved across the full spectrum of corporate work rather than pigeonholed into one niche. The right candidate will be comfortable working independently on day-to-day matters while also diving into complex transactions alongside the team.
What You'll Work On
Corporate transactions make up approximately 60-70% of the practice, with general corporate matters comprising another 20-30%
M&A transactions including deal diligence, disclosure schedules, and drafting substantive transaction documents
Purchase and sale agreements, franchising agreements, and related documentation
Commercial finance matters including credit agreements and ancillary documents
General corporate work including contract review, drafting, and day-to-day client counseling
Acting as outside general counsel for clients across a range of matters including smaller agreements and estate planning adjacent work
Cross-functional collaboration with clients and internal team members on deal execution
What We're Looking For
4-7 years of corporate transactional experience, ideally with exposure to M&A, commercial finance, or franchising
Experience with raising capital and securities work
Prior law firm experience strongly preferred — in-house experience considered on a case by case basis
Comfortable working independently on corporate projects while also supporting senior attorneys on larger deals
Strong drafting skills across a range of corporate documents
Ability to manage multiple matters and client relationships simultaneously
Someone who thrives in a generalist corporate environment and enjoys variety in their day-to-day practice
