We are seeking a senior Corporate Paralegal to join our fast-paced team. The ideal candidate will be responsible for handling a wide range of activities. The successful candidate will have the opportunity to work with a team of seasoned attorneys and professionals in a stimulating work environment that encourages growth, innovation and development.

Responsibilities:

  • Prepare and file UCC filings and perform lien searches .
  • Assist in the due diligence process for mergers and acquisitions, including the review of corporate records, contracts, real estate documents, and other legal documents.
  • Assist in the preparation and review of documents for corporate and real estate transactions, including mergers and acquisitions, joint ventures, and other strategic transactions.
  • Maintain corporate records and assist with corporate governance matters, including the preparation of board resolutions, minutes, and other corporate documents.
  • Conduct legal research and analysis on a variety of corporate and regulatory issues.
  • Work closely with the company's attorneys and other legal professionals to provide comprehensive legal support.
  • Manage multiple projects simultaneously, ensuring deadlines are met.

Qualifications:

  • Paralegal certification from an ABA-approved institution is required. A bachelor's degree is preferred.
  • A minimum of 7+ years of experience as a corporate paralegal, preferably in a law firm or corporate legal department.
  • Extensive knowledge of UCC filings, lien searches, and mergers and acquisitions.
  • Strong understanding of corporate law and corporate governance principles and procedures.
  • Exceptional organizational skills and attention to detail.
  • Excellent verbal and written communication skills.
  • Ability to work independently, manage workloads, and keep deadlines.
  • Proficient in Microsoft Office Suite and legal research software.
  • Strong problem-solving skills and the ability to work under pressure in a fast-paced environment.
  • Candidates must be able to work in-office M-F, 8:30-5:30pm
