Corporate Paralegal – Capital Markets & Transactions

Location: New York, NY

We are seeking a Corporate Paralegal to join our New York office and support a dynamic corporate practice with a strong focus on securities, capital markets, and transactional matters. This role is ideal for someone who thrives in a fast-paced environment, understands public company reporting obligations, and enjoys being deeply involved in deal execution from start to finish.

The Role

We are looking for a detail-oriented corporate paralegal who can support attorneys across a broad range of corporate and securities matters. You will play a central role in entity management, transactional closings, public company reporting, and regulatory compliance.

This position requires strong organizational skills, sound judgment, and the ability to manage competing deadlines with professionalism and accuracy.

Responsibilities
Corporate & Transactional Support

Form and maintain corporations, LLCs, and other business entities across multiple jurisdictions

Prepare and file formation documents, foreign qualifications, and annual compliance filings

Maintain minute books, corporate records, and internal tracking systems

Draft board and shareholder minutes, consents, and related governance documentation

Assist with mergers, acquisitions, financings, and other transactional closings

Prepare certificates, closing checklists, and maintain post-closing binders

Conduct UCC filings, amendments, terminations, and lien searches

Support due diligence efforts, including review and organization of corporate materials

Coordinate tax-related filings and compliance matters as needed

Securities & Public Company Support

Obtain and maintain SEC filing credentials, including CIK numbers and EDGAR access

Prepare and file securities documents (e.g., Forms D, 4, 8-K, 10-K, 10-Q, 13G/D and related filings)

Assist with Section 16 reporting and stock exchange compliance

Support debt and equity offerings, including preparation and organization of closing documentation

Coordinate good standing certificates and regulatory filings for securities transactions

Maintain public company records and audit-related correspondence

Qualifications

Bachelor’s degree required; paralegal certificate preferred

Minimum 3+ years of corporate paralegal experience

Experience supporting capital markets transactions and SEC reporting strongly preferred

Familiarity with EDGAR filing processes and public company compliance

Strong organizational skills with exceptional attention to detail

Ability to manage multiple priorities and work under tight deadlines

Strong written and verbal communication skills

Proficiency with Microsoft Office and online filing systems

Notary Public certification a plus

Requirements

Ability to work both independently and collaboratively within a team

Professional demeanor and strong client-service mindset

High level of accountability and responsiveness

Willingness to work extended hours when transactions require it
