We are seeking a highly motivated and experienced Corporate Attorney to join our dynamic team. This is a unique and exciting opportunity for a Senior Associate or Junior Partner Track with a specialty in corporate law. The role involves working on a broad range of corporate and commercial transactions, including mergers and acquisitions, corporate governance, and entity structuring. Responsibilities:
As a Corporate Attorney, your responsibilities will include but are not limited to:
1. Drafting, reviewing, and negotiating a wide array of commercial contracts including vendor agreements, customer agreements, master services agreements, and supply agreements.
2. Advising on corporate governance matters and corporate structuring.
3. Conducting due diligence in connection with M&A and other transactions.
4. Assisting with entity formation, shareholder agreements, operating agreements, and partnership agreements.
5. Advising on business sales and acquisitions, asset purchases, and stock purchases.
6. Handling general corporate matters and advising on legal issues related to closely held businesses and private company transactions.
7. Collaborating with other members of the legal department and business units to ensure the company's legal compliance.
Qualifications:
The ideal candidate for this position should have:
1. A Juris Doctorate degree from an accredited law school and be in good standing with the state bar.
2. A minimum of 8 years of experience in corporate law, with a focus on M&A, middle-market transactions, and private company transactions.
3. Proven experience in drafting and negotiating commercial contracts.
4. In-depth knowledge of entity formation, corporate governance, and corporate structuring.
5. Experience with business sales & acquisitions, closely held businesses, and shareholder agreements.
6. Excellent analytical, negotiation, and communication skills.
7. Ability to work independently and as part of a team, managing multiple projects in a fast-paced environment.
8. Strong attention to detail and the ability to prioritize tasks to meet deadlines.
