Job Details
The ideal candidate will have a strong foundation in federal income tax and transactional law, with experience supporting mergers, acquisitions, restructurings, and other complex corporate transactions.
This role requires excellent analytical skills, strong drafting ability, and a client-focused mindset.
Key Responsibilities
Assist in structuring, negotiating, and documenting mergers, acquisitions, divestitures, joint ventures, and other strategic transactions
Advise clients on federal and state tax implications of business transactions, including entity selection, reorganizations, and post-closing integration
Draft and review transaction documents, including stock and asset purchase agreements, merger agreements, operating agreements, disclosure schedules, and ancillary documents
Conduct tax and corporate due diligence and identify and analyze potential risks
Collaborate with attorneys in corporate, real estate, estate planning, and employment to provide integrated legal solutions
Support tax planning for closely held businesses, owners, and executives
Stay current on developments in tax and corporate law affecting transactional planning
Qualifications
J.D. from an ABA-accredited law school
2–6 years of relevant experience in tax law, M&A, or corporate transactions
Strong working knowledge of federal income taxation as applied to business entities and transactions
LL.M. in Taxation is a plus, but not required
Active membership in good standing with The Florida Bar (or ability to become admitted promptly)
Excellent legal research, drafting, and communication skills
Proven ability to manage multiple matters and meet deadlines in a fast-paced environment
Strong attention to detail and commitment to providing exceptional client service
