Associate Attorney - Transactional Tax

Our client, a prestigious AmLaw 50 firm, is seeking a junior to mid-level Associate Attorney to join their thriving Transactional TaxPractice in their Bay Area offices. This is the perfect role for a driven and detail-oriented attorney looking to work on complex, high-value tax matters on a sophisticated transactional tax team.
Candidate Profile:
JD from a top-tier law school with a strong academic record.
Active Bar Admission in California.
1+ years of substantive experience in transactional tax matters.
Familiarity with federal income tax issuesrelated to mergers and acquisitions, joint ventures, and other corporate transactions.
Strong research and writing skills with the ability to translate technical tax concepts into practical guidance.
Excellent communication, interpersonal, and project management skills.
Key Responsibilities:
Advise clients on the federal income tax aspects of a wide range of transactions, including M&A, private equity deals, financings, and restructurings.
Work closely with corporate, finance, and real estate attorneys to provide integrated legal solutions.
Conduct legal research and prepare memoranda related to tax structuring, compliance, and planning.
Assist with drafting and negotiating tax-related provisions in transaction documents.
Analyze tax consequences and identify potential risks for clients in complex transactions.
