We are working with a well-regarded, full-service New York firm on a confidential search for an associate to join their nationally recognized Tax-Exempt Organizations practice group. The practice has been named for several consecutive years by Best Law Firms as a leading practice in Nonprofit/Charities Law, and this is a compelling opportunity for a mid-level associate looking to grow within a sophisticated, highly regarded tax-exempt organizations practice.
The incoming associate will work alongside experienced practitioners advising a diverse range of nonprofit and tax-exempt clients across all stages of the corporate life cycle. Day-to-day responsibilities will include:
- Assisting with the formation and incorporation of nonprofit entities and obtaining 501(c) tax-exempt status
- Advising clients on corporate governance, board fiduciary duties, and compliance matters
- Drafting and negotiating grant agreements, fiscal sponsorship arrangements, and other transactional documents
- Counseling clients on charitable solicitation and registration requirements
- Supporting clients through government investigations, IRS audits, and, where applicable, litigation matters
- Advising on structural changes, joint ventures, impact investing, and other strategic transactions
The group frequently serves as outside general counsel to clients — particularly those without in-house legal staff — handling virtually all of their legal needs and coordinating across their various existing outside counsel and advisors.

Job Details
We are specifically seeking associates from the class of 2019-2024. Interested attorneys must be admitted to the New York State Bar and have prior experience working with tax-exempt organizations.
