Assistant General Counsel

Kadant's Assistant General Counsel will be joining a small growing legal department and assist the General Counsel on a broad range of general corporate matters, including commercial contracting, global subsidiary management, SEC filings, SEC and NYSE compliance, corporate governance, mergers and acquisitions, litigation management, corporate compliance, data privacy, internal reorganizations, banking and financing arrangements and other general corporate matters.
Responsibilities:• Reporting to the General Counsel, the lawyer in this role must be able to think strategically and
apply sound business and legal judgment to critical corporate projects.
• He or she must be able to interact with and advise senior executives in other departments.
• Much of the work will require close collaboration with our subsidiaries’ businesses and leaders
throughout the company.
• Candidates should be able to work independently, set priorities, meet deadlines, pay meticulous
attention to detail, and be responsive to business managers.
• This person should be a creative problem solver and capable project manager.
Qualifications:
• 5+ years' experience with public company corporate, securities and M&A legal work.
• A combination of both strong law firm and in-house public company experience is ideal.
• BA degree and JD from an accredited law school; active membership in one state bar,
preferably MA.
• Experience negotiating commercial contracts.
• Experience with a wide range of complex international corporate transactions.
• Ability to manage corporate entities globally.
• Able to work with directors, senior management, and other cross-functional groups, on
deadline.
• Excellent written and oral communications skills, ability to prioritize multiple projects, customer
service attitude, strong attention to detail.
• Hands-on, team oriented approach with flexibility and positive attitude.
• Ability to work independently and well under pressure with minimal supervision.
• Driven, with a strong sense of ownership and dedication to excellence.
• Process oriented with desire for constant improvement and development of best practices.
• Strong interest in exposure to and professional development in other practice areas relevant
to a multinational publicly traded company.
• Willing to travel occasionally.
