We are currently seeking a driven professional to join our team as an Assistant General Counsel (Commercial) for Xanterra’s Corporate Headquarters. This position will focus primarily on wide-ranging commercial transactional matters to support our domestic and international operations. The successful candidate must have experience in commercial contract drafting and negotiations, demonstrated corporate generalist experience, and strong client counseling background in a deadline-driven environment. This crucial role will perform a full range of in-house corporate legal services and manage outside legal counsel to Xanterra Travel Collection® companies, reporting to the Chief Legal Officer.
Responsibilities:- Provide commercial transactional support to all Xanterra entity departments including operations, risk management, sustainability, engineering, human resources, sales and marketing, accounting and finance, business development, and guest relations.
- Manage the legal contracting process for the enterprise, including drafting, negotiating, and finalizing contracts for all business entities, including master service agreements, AIA contracts, agreements with travel advisors and marketing companies, consulting, and contractor agreements.
- Support corporate governance and regulatory compliance.
- Provide legal guidance on all financing, acquisitions, and related transactional activity for the company; interpret and ensure compliance with any current financing obligations.
- Report regularly to and work closely with Xanterra’s Chief Legal Officer on all significant matters.
- Perform other duties as assigned.
- Law degree from an accredited law school and be a member in good standing of the Colorado Bar required.
- Six years of relevant experience as a practicing attorney in a law firm or corporate legal department is required; substantial legal experience in the hospitality industry is preferred.
- Significant experience managing, drafting, and negotiating a range of commercial contracts and advising as a corporate generalist; experience with complex financing transactions is strongly preferred.
- Demonstrated ability to build productive relationships by interacting with coworkers, employees, and outside lawyers in a positive and productive manner.
- Excellent written and verbal communication skills.
- Strong organizational, administrative, technological, and leadership skills.
- Self-starter who takes initiative to advance and close out projects, is able to work independently and resolve matters efficiently.
- Ability to travel as needed, including international destinations.
Compensation:
The base salary range for this position is $150,000.00 - $195,000.00.
