Job Title: Private Wealth Solutions Legal (BREIT), Vice President

Job Description:
Blackstone is seeking an attorney for the Private Wealth Solutions Legal team in New York to primarily support the day-to-day operations and global fundraising initiatives for Blackstone Real Estate Income Trust (BREIT), an industry leading public, non-listed real estate investment trust. The candidate will collaborate cross-functionally across the Private Wealth Solutions and Real Estate businesses and Blackstone, also working with the Institutional Client Solutions, Finance, Public Affairs and other groups in the U.S., Europe and Asia.

Responsibilities :
Prepare and review public offering materials, including registration statements and prospectuses under the '33 Act and private placement memoranda

Prepare and review '34 Act filings including Forms 10-K, 10-Q, 8-K and Section 16 filings and manage the annual meeting proxy process

Liaise with management and outside counsel on all aspects of corporate governance, including board and committee meeting planning and preparation of meeting materials

Assist with private placement offerings for BREIT's international and other fundraising efforts

Interpret and apply regulations related to the operation, communications, marketing and offering of securities in the United States and abroad, including application of Regulation D, Regulation S and “word sky” laws

Review marketing materials and coordinate any necessary filings with FINRA, the SEC and state regulatory authorities, and review with respect to the SEC's modernized marketing rule under the Advisers Act and international securities laws

Assist with other day-to-day legal matters, including drafting and reviewing various commercial agreements and advising on subscription and redemption procedures

Oversee and manage junior team members and outside counsel in the execution of the above responsibilities

Qualifications:
Blackstone Private Wealth Solutions Legal seeks to hire individuals who are detail-oriented, process-driven, and have a genuine desire to learn and grow in a collaborative team-based setting. The successful candidate should have:
JD, preferably from a top law school

Minimum of four years of experience as a capital markets, public company advisory or similar lawyer (law firm, in-house or combination thereof); familiarity with the ‘33 Act (including exemptions), ‘34 Act, Advisers Act and/or 40 Act are important

Strong team player with a desire to contribute to a collaborative work environment

Exceptional ability to independently manage disparate workstreams

Strong work ethic

Sound professional judgment

Initiative, creativity and drive

Integrity and professionalism

Expected annual base salary range:
$175,000 - $200,000 Actual base salary within that range will be determined by several components including but not limited to the individual's experience, skills, qualifications and job location. For roles located outside of the US, please disregard the posted salary bands as these roles will follow a separate compensation process based on local market comparables.

Additional compensation: Base salary does not include other forms of compensation or benefits offered in connection with the advertised role.
