Our client an top AV rated law firm, has an immediate need for a Corporate Paralegal to join a busy and growing transactional practice group. Candidates must possess a minimum of  4 years of experience in a law firm environment. The position requires a positive, proactive, service-oriented approach, the ability to work with a range of people, and an acute attention to detail and high work product standards. 

JOB DUTIES
Assist with major corporate transactions - venture capital investments, capital markets transactions, and mergers & acquisitions
Maintain closing files for corporate transactions and compile closing sets and assist with transaction closings
Form, merge and dissolve entities nationwide
Prepare and file UCC Financing Statements and descriptions of collateral
Handling corporate formation and organizational matters, stock transfers, board minutes, etc. 
Create and maintain capitalization records
Prepare and file section 16 notices and securities exemption notices
Conduct due diligence review and draft analyses of corporate public records
Perform UCC/lien searches
Maintain corporate minute books
Coordinate document retrieval from government agencies and prepare government filings
Familiar with basic corporate documents including resolutions and organizational documents
Flexibility and willingness to work in other practice areas as needed
Prepare memoranda regarding statutory requirements for filing of corporate documents with Departments of State and IRS
Perform research of UCC and laws governing business organizations and retrieve public records related to corporate entities

JOB REQUIREMENTS
Minimum 4 years of corporate transactional experience is REQUIRED
BS/BA degree is strongly preferred
Experience as a billing timekeeper is strongly preferred
Strong writing and proofreading skills
Familiarity with conducting internet-based research
Excellent attention to detail and strong organizational and communication skills
Ability to work efficiently in a fast-paced environment with AND without direct supervision
Ability to prioritize and coordinate multiple projects simultaneously
