Associate Attorney in Commercial Mortgage-Backed Securities

Join a leading AmLaw 50 law firm in New York, NY as an Associate Attorney within our Global Finance group, specializing in Commercial Mortgage-Backed Securities (CMBS). This position offers the chance to work within a top-tier team, known for its significant role in CMBS transactions and leadership in the marketplace. As part of our team, you'll handle complex securitization projects, contribute to high-profile CRE CLOs, and provide expert legal services to a diverse clientele including issuers, underwriters, and investors. Salary: $260,000.00 - $420,000.00 per year

Essential Duties and Responsibilities:

  • Provide legal counsel and navigate a variety of CMBS transactions including CRE CLOs.
  • Lead in drafting, reviewing, and negotiating comprehensive securitization documents such as pooling and servicing agreements, mortgage loan purchase agreements, and more.
  • Actively participate in structuring deals, managing due diligence, overseeing transaction execution, and handling post-closing matters.
  • Ensure all transactions comply with regulatory and industry standards.
  • Collaborate effectively with team members across the Global Finance group to enhance service quality and firm reputation.

Minimum Position Qualifications:

  • JD from a top-tier law school with a strong academic record.
  • Active Bar Admission in New York.
  • Class years 2017-2021 with significant experience in securitization and structured finance, particularly in the CMBS sector.
  • Proven experience in drafting and negotiating complex securitization documents.
  • Familiarity with commercial real estate repurchase facilities and warehouse lending.

Preferred Qualifications:

  • Substantial experience within large law firm settings.
  • Ability to lead and manage multiple significant transactional deals from inception to close.
  • Demonstrated capability in handling complex legal and regulatory issues pertinent to CMBS transactions.
  • Strong organizational skills, with the capability to manage heavy workflow and maintain high performance under pressure.

  • Advanced negotiation and interpersonal skills to effectively deal with clients and team members.
