UST is currently looking for a Senior Attorney with extensive experience in drafting, reviewing, and negotiating complex client-facing agreements in different verticals, including healthcare.

Role Proficiency:

An attorney who is able to draft edit or summarize documents with a high degree of accuracy. Requires some but not close supervision on most matters. Receive medium-complex research assignments and appear as Company representative in larger court matters. Develop and review issues over multiple geographies and recommend position and legal issues. May also provide direction to outside counsel on routine matters. Supervise paralegals attorneys and other legal professionals. An attorney with sixteen to nineteen years’ experience who is able to work independently on research projects independently draft and review documents and work directly with members of other functional departments business units and outside counsel. May conduct an independent analysis of complex and multi-geographies contracts or regulatory matters and may serve as legal representative in significant court matters.

Outcomes:

  1. Responsible to draft edit and negotiate contracts with customers suppliers and others who desire to contract with the Company obtain feedback on draft agreements from stakeholders and provide consolidated comments to the relevant stakeholders including but not limited to agreements for participation in the Company's networks for health information messaging and connectivity data use agreements technology licensing agreements joint research projects and contracts with vendors supplying services or equipment to the Company.
  2. Provide and/or ensure accurate relevant and timely advice to different stakeholders and other members of staff on a variety of legal topics that relate to the business sector and their products or services.
  3. Work closely with and provide legal advice to teams within the Company responsible for the products/services requiring contracts or other documentation for delivery.
  4. Responsible for ensuring all relevant facts and legal considerations are assembled assessed and accurate before contracts are presented for execution as it relates to all business transactions.
  5. May oversee and/or evaluate and advise appropriate legal courses of action to meet Company and other stakeholders’ needs as directed by the reporting attorney.
  6. Analyze complex and multi-geo legal issues conduct legal research work and draft summary reports for management.
  7. May oversee the preparation and management of power of attorneys and shareholders or other resolutions.
  8. Supervise the draft review and revise legal plans in response to changing needs of the organization's laws and government policies.
  9. Direct activities of project personnel to ensure the project progresses on schedule to and within prescribed budget.
  10. Manage a workload that is largely diverse and complex with minimal direct supervision or direction.
  11. Review legal advice provided by other legal professionals and oversee responses to RFPs/RFIs as they come in.
  12. Manage the development of global policies and processes for Public Sector Business.
  13. Represent the corporation before administrative boards and court trials as needed.
  14. Collaborate with the legal/contract and legal operations team staff to implement the vision and strategic goals of the department.
  15. Direct activities of project personnel to ensure the project progresses on schedule to and within prescribed budget.
  16. Direct attorneys paralegals other in-house legal professionals and outside lawyers hired to assist the corporation with their specialized legal services.
  17. May assist in structuring joint enterprises with other organizations.
  18. Define process standardize frequently used agreements and forms including drafting of playbooks updating templates quarterly or yearly
  19. Develop and maintain an effective line of communication with other departments that we work closely.
  20. Communicate with and managing any third-party bodies such as external counsel external procurement personnel or auditors.
  21. In charge of policy and procedures as well as the protection of intellectual property for the Company and provide legal advice related to intellectual property
  22. Manage the Company’s Intellectual Property portfolio.
  23. Oversee the draft and negotiation of various commercial contracts including purchase/stock agreements customer documentation licensing technology procurement and support non-disclosure market data exchange and clearing agreements and securities industry form agreements.
  24. Assist with in-house and outside counsel in the management of UST’s global intellectual property portfolio including application drafting registration and defense of business methods patents and trademarks.
  25. UST.
  26. Provide support on general corporate M&A antitrust and intellectual property matters in all UST locations as needed.
  27. Provide legal services on a wide variety of other issues that may arise in the operation of the Department.
  28. Liaise with senior members of staff and upper management.

Measures of Outcomes:

  1. Timeline / SLA Adherence for the team
  2. Feedback from internal clients
  3. # of requests processed per month without escalations
  4. # of request reassigned to outside counsel per month
  5. Adhere to invoice review SLA
  6. Manage 80% to 90% of client and vendor agreements in-house
  7. Manage matter budget to actual with a delta of (+/-) 10%
  8. Negotiate discounts that are at least 5% to 10% from the initial estimate
  9. Reduce litigation spend by 3% to 8%

  1. Ensuring that the work of the legal team meets all legal requirements
  2. Ensuring that the legal work of the legal team is accurate and of high-quality
  3. Providing advice guidance and mentoring to the legal/contract team to ensure they approach their work with professionalism and due care and in a manner that maintains the good reputation of the department
