This position is the frontline for negotiating and documenting third-party contracts, including customer and vendor agreements, and serves a critical role in identifying and mitigating legal risk to protect Benchmark from undue legal exposure, liability and financial loss. The Benchmark Legal Department is a full-service department and members will be asked to accept projects and responsibilities within the scope of the Department that may not be identified in this brief description.
Essential Functions and Competencies
• Familiarity with the following an asset: o Intellectual property matters. o Defense and aerospace contracting. o Trade compliance regulation. o Dispute resolution. o Compliance training and oversight.
• The candidate should also have the following traits and skills: o An unquestionable commitment to integrity. o A strong work ethic. The legal business is hard work and sometimes adversarial. Must be positive, team-oriented person, and express a consistent desire to exceed expectations. o A high solution orientation. Fundamentally, the Benchmark Legal Department is a problem-solver and problems require creativity, good judgment and patience (among other skills) to solve them successfully. o Open to Collaboration. Enjoys building positive relationships with other people. The position will need to work with many people in other departments and will need to both help those people and ask for help when needed. o Business Acumen. Demonstrated desire to get to know and understand Benchmark’s technologies, products, services and business, and be willing to put in the extra time to learn. o Excellent written and oral communication skills. The Benchmark legal team communicates constantly – by voice, by email, by written memorandum, in agreements, and in meetings. Must be able to communicate their points crisply and professionally in all situations. o Maintain perspective, balance competing priorities and have patience.
Qualifications / Education / Experience
Draft and negotiate a wide variety of contracts, including complex sales, engineering, and services agreements that comply with company policies and risk tolerance. Update standard contract templates and assist with preparing and implementing contract management policies and, procedures and workflows. May include working with other departments and in particular sales, finance and IT to design and implement contract procedures, workflows and systems to most efficiently initiate, draft, negotiate, execute, file and implement contracts. Create and periodically review and update acceptable “first-choice” alternative contract clauses with annotations explaining the use and purpose of such clauses to assist clients with minimizing the Company’s risk and liability exposures – particularly with respect to intellectual property matters, warranties, indemnification and limitations of liability. Provide advice on legal issues and risks, deal structures, negotiation strategy and company policies and procedures to all levels of the Company, including operations, sales and marketing, finance, engineering, and business development. Assist in the monitoring of and compliance with Federal, State and international laws. Litigation & Claims Management – (i) work closely with the General Counsel, Associate General Counsel and outside counsel to manage certain litigation, (ii) investigate claims that may arise, (iii) seek resolution of claims and disputes that may arise, and (iv) engage and manage counsel as may be necessary or appropriate. Assist in other general transactional and corporate matters as necessary.
Minimum of 4 to 6 years of experience of corporate, commercial and contract law practice with particular experience negotiating and drafting technology-related contracts.
Requires a law degree with excellent academic accomplishments from an accredited school, admission to practice in one United States jurisdiction and eligible for admission to practice in Arizona.
