Corporate & Funds Attorney

DLP Capital St. Augustine, FL (Onsite) Full-Time

The Corporate and Funds Attorney will provide counsel on corporate governance, securities law compliance, and fund formation and drafting matters, with a particular focus on supporting real estate private equity transactions. This role offers a unique opportunity to work closely with senior leadership, investment teams, and external stakeholders to drive the firm’s strategic growth initiatives.

What you have already achieved: (Requirements)

  • Juris Doctor (JD) from an accredited law school and membership in good standing with a state bar.
  • 3+ years of experience in corporate, securities, or private equity law, preferably within a law firm or in-house legal team.
  • Strong knowledge of securities regulations, including Regulation D, Blue Sky laws, and SEC rules.
  • Experience with private equity real estate fund formation and real estate joint ventures is highly preferred.
  • Exceptional drafting, negotiation, and communication skills.
  • Strong analytical and problem-solving skills with the ability to balance legal risks and business objectives.
  • Ability to thrive in a fast-paced, collaborative environment and manage multiple projects simultaneously.

What you are great at: (Responsibilities)

  • Fund Formation & Structuring: Draft, review, and negotiate private equity fund documentation, including partnership agreements, subscription agreements, PPMs, and side letters.
  • Collaborate with internal teams and external counsel to establish and manage investment fund structures (e.g., REITs, joint ventures, LLCs).
  • Securities Law Compliance: Advise on securities law matters, including Regulation D offerings, Blue Sky compliance, and SEC reporting obligations.
  • Assist in the preparation of offering documents and related filings for private placements.
  • Corporate Governance: Provide guidance on corporate governance matters for fund entities, portfolio companies, and the firm.
  • Draft and maintain organizational documents and related filings for private placements.
  • Transaction Support: Work closely with the acquisitions and asset management teams on joint ventures, co-investments, and other real estate transactions.
  • Review and negotiate agreements such as shareholder agreements, operating agreements, and partnership agreements.
  • Regulatory & Risk Management: Monitor and interpret developments in securities, corporate, and tax laws relevant to private equity real estate funds.
  • Advise on compliance with applicable laws and regulations, mitigating legal and financial risks.
