EchoStar Corporation (NASDAQ: SATS) is seeking to hire a Vice President and Associate General Counsel, Securities and Corporate, at its principal office, in Germantown, MD.


Responsibilities:

  • Lead the drafting and review of a broad range of securities filings under the Securities Exchange Act of 1934 and the Securities Act of 1933.
  • Advise on and implement executive compensation and equity administration matters, including Section 16 filings; administer the insider trading policies.
  • Support and advise Investor Relations and finance & accounting on disclosure matters.
  • Lead the preparation for board and committee meetings, including drafting of materials and coordination of agendas; plan the annual stockholder meeting.
  • Advise on compliance with indentures and loan documents; lead the legal work in drafting and administering same.
  • Manage domestic and international corporate transactions, including joint ventures, mergers and acquisitions, debt/equity financings, and a wide range of business agreements and other special projects; provide advice regarding the company’s joint ventures and investments.
  • Develop, implement and maintain various compliance initiatives and corporate governance policies and practices.
  • Manage attorneys and other legal professionals.
  • Manage and coordinate outside counsel as needed.

Requirements:

  • JD from an accredited law school and active membership in good standing in at least one state bar.
  • At least 15 years’ specialized securities/corporate law experience at a major law firm and/or in-house legal department (at least 3 years’ in-house experience preferred), focusing on a broad range of securities and corporate matters, including SEC filings, corporate governance, executive compensation and equity administration.
  • 10+ years’ direct experience personally drafting Securities Act and Securities Exchange Act filings, including periodic reports, proxy statements, Section 16 reports and registration statements.

Preferred qualifications:

  • Excellent business and legal judgment, strategic thinking and problem solving
  • Attention to detail and well organized, with demonstrated ability to manage numerous projects simultaneously and effectively
  • Successful track record managing attorneys and other legal professionals
  • Excellent interpersonal skills; dynamic, team-oriented and flexible in work style and approach
  • Superior written and oral communication skills
  • Experience in an in-house legal department advising senior management and board of directors on public disclosure and corporate governance matters.
  • Experience drafting and negotiating contracts.
  • Experience with domestic and international corporate transactions, including joint ventures and mergers/acquisitions.

You will be eligible to participate in the Executive Incentive Program (EIP).  Payments from this program are based on company and individual performance.  The target bonus for this position is $50,000.
