Managing Counsel, Commercial Transactions & Operations-Business Partners-APAC

OSI Group Aurora, IL (Onsite) Full-Time

This role will have primary responsibility for providing hands-on commercial and operations legal support to the Company and its various business units in Asia, Pacific, Australia, China, and for leading a team of attorneys. The role will require interfacing with manufacturing facilities, operations, and business personnel at all levels, including senior management.

• Job manages a team, has authority to hire and performance-manage the team.
• Job leads/supervises/manages 1-5 employees.
• Leads and mentors an intimate team of attorneys responsible for various commercial transactions, employment and labor and other legal matters.
• Serves as an in-house commercial generalist who oversees and reviews and/or drafts various complex commercial agreements/transactions to ensure legal compliance and alignment with all applicable laws and company objectives/initiatives and risk profile.
• Oversees and reviews and/or drafts joint venture, shareholder, partnership, technical service, and other agreements related to the formation, start-up and continuation of domestic and international entities.
• Counsels and advises corporate management on various commercial, operations and other legal issues related to domestic and international entities.
• Assists and oversees the development and implementation of standard processes and procedures within law department to ensure effectiveness of department functions and client support.
• Represents company and its operating units before governmental and quasi-legal bureaus, departments, and agencies, as needed.
• Provides other legal services and legal counsel as needed, based on the Company’s diverse and evolving needs.
• Managing specific litigation matters assigned to outside counsel, including strategy and budget review and oversight.
• Assists SVP General Counsel in the operation of Legal Department activities as directed.
• Undertakes specific assignments as directed by SVP General Counsel.
• This role has the responsibility to understand and places in practice appropriate safety procedures. This responsibility is achieved through education, training, use of protective equipment (as applicable) and by following safety policies, regulations, standards, and laws.
• Perform other duties as assigned.

• 10+ years of experience in related field is preferred.
• Experience at a reputable corporate law department or law firm.
• Broad-based knowledge and experience and demonstrated excellence in complex commercial contracting and transactions practice.
• Excellent analytical, communication, research and writing skills with ability to work within tight deadlines.
• Excellent judgment and sound decision making.
• Excellent proficiency in all Microsoft Office Suite Products.
• Ability to interface professionally and effectively with all levels of personnel internally and externally, up to and including senior executives and other key personnel.
• Highly motivated proactive self-starter with excellent judgement and professional maturity.
• Proven ability to identify and mitigate risks and to balance legal risks with business goals.
• Prior law department managerial experience preferred.
• BA/BS or equivalent is required.
• JD from an ABA accredited law school and admitted to practice in Illinois is required.
• Work is generally performed within a business professional office environment, with standard office equipment available.
• Work conditions are typical of an office environment.
• This role does not require any domestic travel
• Position may require the physical agility of lifting up to 15 pounds.
• Position may require frequent and/or infrequent of bending, squatting, pushing, pulling, stretching/reaching, use hands or fingers, talk, hear, feel objects, tools, controls and standing/walking on concrete flooring.
• Position may require the physical ability to stand/walk for Less than 4 hours.
