Position Description
The Commercial Counsel provides a diverse range of legal services to the US commercial functions within the Company, which operates in a highly regulated pharmaceutical/medical device environment. The Commercial Counsel will primarily help support the Sales & Marketing, Pricing and Access, Government Pricing, Trade, and other functions as assigned. She or he will review promotional materials for the US market. The Commercial Counsel will work closely with the Company’s commercial functions by participating in business strategy meetings and providing sound legal and compliance guidance.
Main Areas of Responsibilities
The primary duties and responsibilities of this position include the following.  Other duties may be assigned.

•        Provides strategic legal advice to the marketing teams and reviews promotional material for the assigned therapeutic areas; review promotional and other materials to ensure compliance with the Federal Food, Drug & Cosmetic Act and related laws and regulations.

•        Participates in the development of contractual and business strategies with the Managed Markets, Pricing and Access, and Trade teams.

•        Provides legal guidance on various matters, including Affordable Care Act, Anti-Kickback Statutes, False Claims Acts, antitrust, Robinson-Patman Act, rebating strategies, etc.

•        Offers legal advice on reporting requirements of prescription drug prices to federal and state governments (e.g., Medicare, Medicaid, Tricare, VA), AMP rule, best price, coverage gap, 340B, ASP, PHS, treatment of admin/service fees, etc.

•        Supports the negotiation and execution of various agreements, including vendors agreements and trade-related agreements.

•        Develops and enhances contract templates and guidelines, and ensures contract language meets legal requirements and is designed to mitigate risk/liability to the Company.

•        Participates in the review of policies and SOPs as required.

•        Participates in the assessment and resolution of operational issues as needed.

•        Completes special projects as assigned.

•        Remains current on laws, rulings, guidance, regulations and government programs requirements affecting business within identified areas of responsibility and helps implement appropriate actions.

•        Identifies and helps elaborate plans to mitigate areas of legal risk affecting the business.

•        Attends work on a regular and predictable basis.

•        Upholds Company policies.

•        Works in a cooperative manner with colleagues and customers.

•        Works effectively under deadlines.
Member in good standing of a US bar, with a minimum of five (5) years of experience working in a corporate legal environment or a major law firm.
Experience in the areas of marketing law, healthcare compliance, and government drug rebate programs required. Direct pharmaceutical industry experience is strongly recommended. Experience in the areas of managed markets, supply, distribution/logistics contracting are all relevant.

•      Sound business and legal judgment, with ability to balance business objectives and risk, solving legal problems in a high-output, fast moving environment.

•      Excellent drafting and legal technical skills.

•      Exceptional attention-to-detail and excellent organizational skills.

•      Ability to prioritize duties and manage multiple matters from start to finish with minimal supervision.

•      Strong interpersonal, written and oral communication skills.

•      Ability to work on complex problems with demonstrated creativity and problem solving skills.

•      Ability to maintain the highest degree of confidentiality and integrity.

•      Ability to respond effectively to sensitive inquiries or complaints.

•      Ability to adapt to changes.

•      Ability to coordinate, contribute to, and work within a cross-functional team.
Preferred Skills/Qualification:
Direct pharmaceutical industry experience is strongly recommended.
JD Degree Required.
