Green Key Resources in Rockville, MD is seeking a Corporate Paralegal for a long term temporary (possible temp to hire) position. This role is with a biotech company located in Gaithersburg, MD. This position will be supporting the Corporate Securities and Transactions team to provide paralegal support on corporate governance, subsidiary and affiliate entities maintenance, securities matters, mergers and acquisitions. The responsibilities for this role include the following:

  • Maintenance of corporate minute books, drafting of resolutions, certificates, preparation and filing of entity formations and dissolutions, support on consolidations and oversight of required filings in various US and international jurisdictions 
  • Coordination of electronic data room
  • Research and handle securities issues and support filings as needed
  • Support company mergers and acquisitions  - assist with integration of newly acquired entities
  • Handle contract requests
  • Support other members of the team in coordinating logistics and matters related to board meetings and events
  • Support team with tracking, forecasting and maintenance of outside counsel spend and invoices
  • Research and respond to information requests from internal and external departments regarding various corporate related matters
  • Degree required
  • Three or more years of paralegal experience in a law firm or corporate legal department required
  • Paralegal certificate preferred
  • International entity formation/subsidiary experience preferred
  • Client service oriented - able to handle stressful situations
  • Excellent communication skills - both written and verbal
  • Ability to work independently as well as part of a team
  • Highly organized - ability to handle multiple projects and prioritize
  • Knowledge of key legal research databases
  • Excellent computer skills
