Job Description:

 

SEC Attorney 

Location – Dallas on site 

Starting Salary Range – $250k - $300k DoE 
This role is bonus eligible 

 

 

We’re hiring an SEC Attorney to oversee GMR’s legal compliance with US Securities and Exchange Commission (SEC) reporting obligations. This leader serves as a trusted advisor on public company strategy and its execution, including oversight of outside counsel, and plays a direct role in complex financing and highimpact business transactions. This corporate attorney will have experience managing, handling, and advising on securities and corporate governance matters, developed through law firm and in-house roles, with primary responsibility for securities compliance, corporate secretary functions, and governance oversight. Additionally, this person will play a key role in elevating our culture through GMR’s core behaviors to support a positive organizational experience. 

 

Responsibilities: 

  • The SEC Attorney will lead the preparation, review, and filing of company disclosures with the SEC, including quarterly and annual reports, proxy statements, and Section 16 filings 

  • Provide legal support with respect to corporate governance matters, including supporting the board of directors and senior management  

  • Partner crossfunctionally across the organization with primary responsibility for SEC reporting, the corporate secretary function, and corporate governance matters  

  • Advise executive leadership and the Board of Directors on corporate governance matters, including Board and committee meeting preparation, administration, and governance best practices  

  • Provide legal guidance on earnings materials, press releases, and other external disclosures to ensure regulatory compliance  

  • Support investor relations activities and engagement with external stakeholders on governance and disclosurerelated matters 

Leadership & Culture: 

  • Serve as a trusted advisor and thought partner to executive leadership, delivering practical, businessfocused legal guidance  

  • Translate complex legal, regulatory, and governance issues into clear, actionable recommendations and carry them through to implementation  

  • Operate as a collaborative business partner, working effectively across teams through influence rather than authority  

  • Demonstrate strong business acumen, balancing detailed legal analysis with an understanding of broader organizational priorities  

  • Lead with transparency, integrity, and accountability while empowering others through coaching and collaboration  

  • Exhibit strong organizational discipline, adaptability, and the ability to manage multiple priorities in a dynamic environment  

  • Apply sound judgment, analytical rigor, and a pragmatic approach to risk management, with a bias for action and results  

  • Synthesize complex, diverse, or unstructured information into cohesive plans that advance company objectives 

 

Reporting Relationship 

  • Reports to GC  

 

Qualifications:  

Education 

  • Juris Doctor with strong academic credentials 

  • 10+ years of relevant legal experience, and admitted and in good standing in any jurisdiction 

  • Authorization to practice law in Texas or Colorado  

Experience 

  • Highly credible legal executive with a strong track record working effectively in a world-class organization (either a corporate role or as outside counsel) 

  • Significant experience in corporate, securities and corporate governance to advise executive leadership teams, including the C-suite and directors in all matters related to SEC regulatory compliance and filings
