JOB SUMMARY:
The primary job duty is to advise the company concerning its legal rights, obligations, and privileges and to ensure regulatory compliance.
JOB DUTIES:
General Corporate
- Provide legal research, analysis, and advice on issues relative to business operations and corporate governance.
- Serve as legal representative for any Company-wide initiatives.
- Manage all outside counsel except with respect to claims handling.
Compliance
- Oversee development and implementation of corporate compliance program. Draft and revise policies as required by changes in legal environment.
- Review department-specific policies, procedures, and new initiatives to ensure compliance with applicable legal requirements.
- Coordinate Company’s response to formal complaints and to subpoenas that are unrelated to claims files.
Government Affairs
- Review filings to various insurance departments of products, rates, and forms, and serve as central liaison with any follow-up queries from regulators with respect to such filings or compliance issues.
- Monitor and evaluate the impact of legislation and regulations proposed and/or promulgated by state and Federal legislatures, departments of insurance, and other governmental agencies relevant to medical malpractice, workers compensation, health care, corporate, and general insurance operations in states in which the company does business.
- Attend legislative hearings as necessary and prepare company testimony and/or statements.
- Oversee company licenses in all states.
Contract/document Review
- Review, negotiate, draft, and interpret contracts and other legal documents.
- Review and approve Company advertising and communications.
Miscellaneous
- Monitor bankruptcy third party proceedings and advise the Company as necessary.
- Represent the Company and/or its employees in legal and regulatory proceedings.
- Advise the Company on intellectual property, copyright, and trademark issues.
Requirements
Experience:
The ideal candidate will have:
1. 3-5 years experience as Inside Counsel with a Property and Casualty Insurer; and,
2. 3-5 years of experience in an insurance practice group or with the State Department of Insurance
3. Must be admitted to the Michigan Bar or eligible for reciprocity
Education: Juris Doctor, required
