An established and growing holding company based in the Northern suburbs of Chicago.
 

Responsibilities

Reporting directly to the Chairman & CEO, the In-House Counsel and Finance Director will manage all financial, accounting and information systems matters while ensuring proper application and compliance of all budgetary, reporting and accounting practices.  Simultaneously, he/she will be responsible for complex contract negotiation and drafting while providing cost effective legal advice and policy guidance to the Company.  The In-House Counsel and Finance Director will report directly to the Chairman and CEO of the Company and work across its various operating companies.  He/She will be a part of a senior management team that is focused on increasing productivity, improving business operations and broadening the Company’s market position. 

 

Additional responsibilities will include, but not be limited to:

 

  • Identifying opportunities for improvement related to the Company’s financial and risk policies, procedures and standards with a focus on audit processes across the portfolio companies.
  • Maintaining financial policy, long- and short-term financial planning, budgeting, strategic business planning and monitoring of the Company’s financial performance.
  • Oversight of the Company’s treasury function including cash management, banking and investments.
  • Develop and manage financial and accounting systems to support the Company’s strategic growth initiatives.
  • Identify cost savings and other opportunities to increase profitability and return on investment.
  • Manage Human Resource Policies and Compliance as well as Corporate Health Care and Insurance Purchases and Compliance.
  • Draft various forms of contracts for the organization related to corporate contracts and purchasing in addition to contracts pertaining to customers, suppliers and future business opportunities.
  • Review and translate contracts involving leases, licenses, purchases, sales, employment, insurance and varied legal matters. Negotiating and drafting changes to standard form contracts used by the organization.
  • Anticipate and guard against legal risks involving the Company identifying and managing legal risks in contracts, operations and claims.
  • Assume a leadership role in directly communicating with customer/client counsel to negotiate contract terms and conditions and resolve contract issues.
  • Identify and implement legal compliance programs for the organization as needed.
  • Provide advice and manage advice provided by external lawyers on legal and regulatory issues of importance to the Company.
Requirements

QUALIFICATIONS

  • Minimum of 10 years of professional experience within manufacturing or high-tech companies preferred; Must possess an undergraduate degree in finance or accounting coupled with a Juris Doctorate; CPA is preferred.  Extensive experience in complex contract negotiation and drafting is a must.
  • Excellent oral and written communication skills, time management, decision making, presentation, human relations and organizational skills. Detail-oriented.
  • Motivated by working in a highly challenging, fast-paced, entrepreneurial environment that requires creative problem-solving and the ability to deal with ambiguity.
  • Demonstrated team-oriented approach that is characterized by open communication, constructive challenging of ideas and intellectual honesty; Non-political nature and personality.
