Capital One is hiring an Assistant General Counsel to provide the Bank with legal services related to loans and is capable of providing advice and assistance on a wide variety of legal matters.
Responsibilities include:
Assisting the Bank’s Special Assets officers in their management of criticized commercial loans by reviewing collateral documents; interpreting ambiguous provisions in loan documents; understanding and handling bankruptcy matters and loan workout; negotiating with customers’ attorneys; drafting and reviewing demand letters; preparing and/or reviewing documentation required for renewals and restructures; managing litigation required to resolve credits; and preparing legal documents such as forbearance agreements, releases, settlement documents, and loan sales. The attorney is also responsible for supervising and controlling the costs of outside counsel who perform these services for the Bank.
Handling or managing loan-related claims filed against the Bank, including bankruptcy preference actions and counterclaims in collection or foreclosure suits. The attorney prepares litigation reports and makes legal recommendations to Bank management when appropriate.
Assisting the departments responsible for identifying external fraud and suspicious activity involving loan customers by providing legal advice, examining loan and collateral documents, and handling or managing suits related to the affected loans.
Handling or managing litigation to collect sums due other Bank departments – typically as a result of contract defaults.
Advising and providing assistance to the OREO section of the Bank.
Controlling the legal expenses on matters being handled by outside counsel by identifying issues not needing outside counsel assistance, by assessing the costs of outside legal services when they are needed, by providing legal services in-house, and by directing and supervising outside counsel to ensure that the fees charged are accurate. The attorney is responsible for resolving any disputes related to the fees incurred on a file.
Basic Qualifications:
JD and admission to the Bar of New York
5 years experience as an attorney with four of those years focused on Commercial Litigation or Workout Experience related to Banking, Small Business, Commercial Lending and/or Bankruptcy
Preferred Qualifications:
6+ years experience as an attorney with at least four years of Litigation or Workout Experience related to Banking, Small Business and Commercial Lending, and/or Bankruptcy
Ability to work effectively both in teams and independently; to make effective, integrated decisions; and to collaborate effectively with associates at all levels in the company
Ability to prioritize a significant volume of legal matters and to manage multiple, simultaneous deadlines
Excellent written and oral communication skills with the ability to influence others
New Jersey bar membership is a plus, as is additional membership in other states’ bars
We will not be able to provide relocation assistance with this position.
