Headquartered in Kirkland, Wash., the company launched its first WiMAX market (Portland) in April, 2009 and now offers WiMAX high speed wireless broadband service in Atlanta, Las Vegas and in additional markets across the U.S. Clearwire expects its WiMAX service to cover more than 120 million people by the end of 2010.Clearwire was formed on November 30, 2008, when its predecessor, Clearwire Corporation, and Sprint Nextel Corporation combined their respective next-generation wireless broadband businesses to form a new wireless communications company to expedite the deployment of the first nationwide mobile WiMAX network. This new company retained the name Clearwire and is publicly traded (NASDAQ: CLWR). In conjunction with this transaction, Intel Corporation (through Intel Capital); Google Inc.; Comcast Corporation; Time Warner Cable Inc; and Bright House Networks collectively invested $3.2 billion into Clearwire.Counsel – Marketing and Sales ComplianceClearwire is seeking an experienced counsel-level marketing and sales compliance attorney to provide primary legal support and act as a Legal Department point of contract for Clearwire’s marketing, sales and customer care teams. As a provider of wireless broadband internet services to consumers, Clearwire is committed to strictly complying with all applicable laws and regulations governing consumer-facing businesses, and seeks an additional lawyer to assist in this critically important area. This position reports to the Vice President/Deputy General Counsel and is a member of the commercial law group in the Clearwire Legal Department. This position is located in Kirkland, Washington.Major Responsibilities: Provide legal advice to members of the Marketing, Sales and Customer Care teams on a variety of marketing, sales and customer care initiatives.Review, analyze and approve all marketing campaigns, advertising and related collateral for compliance with applicable state and federal laws, regulations and requirements. Draft, review and approve disclosures and disclaimers associated with such programs.Assist Marketing personnel in the development of brand guidelines and brand protection. Provide legal advice and support efforts to ensure proper and appropriate use of company brands.Review and approve activities for promotional events, trade show and other public presentations.Review, analyze and approve all elements of proposed contests, sweepstakes and give-aways, and ensure compliance with all applicable state and federal regulations governing such events and activities.Review and update Clearwire’s Visitor’s Policy, Terms of Service, Acceptable Use Policy, and other policies posted on Clearwire’s web pages consistent with company driven objectives.Review and give legal guidance on the establishment and structure of proposed and actual sales activities, loyalty programs, outreach efforts, and customer communications.Prepare and provide appropriate training to Marketing, Sales and Customer Care team members on a variety of relevant subjects such as regulatory compliance, antitrust compliance, and appropriate sales and marketing techniques.Assist company’s intellectual property counsel, on as needed basis, with protection of copyright and trademarks. Coordinate with company litigation attorneys, on as needed basis, on responses to inquiries from, and other communications with, regulators as to marketing, sales and customer care activities.Assist company’s commercial transactions attorneys, on as needed basis, with the drafting and negotiation of marketing and authorized reseller related agreements. Minimum Qualifications:Detailed and extensive knowledge of applicable federal and state marketing, sales and customer care related regulations and statutes (e.g., CAN-SPAM, DNC lists, FDCPA, DMCA, TCPA, EFTA, FTC regulations, DMA guidelines, contest and sweepstakes rules, etc.). Prior experience dealing with, and responding to, federal and state regulators considered a “plus”.Sufficient knowledge of anti-trust laws to provide general legal advice to sales teams on permissible and impermissible sales related activities.JD degree, admission to and good standing in at least one US state bar, and six to ten years experience advising and assisting with marketing, sales and customer care activities. Prior experience as marketing compliance counsel for a consumer facing industry, with experience in the telecommunications (preferably wireless) industry and/or cable system service provider industry a significant “plus”. Successful candidates will have superior organizational skills, as this position will require the demanding ability to juggle multiple highly time-sensitive projects and respond to collateral review requests in a timely manner, yet at the same time ensure the company complies with applicable laws and regulations. Successful candidates should also demonstrate the ability to develop legal processes, forms and tools to make the marketing review process more efficient, and successfully interface with executive level management within Clearwire. Additionally, the successful candidate should (a) demonstrate strong interpersonal skills and the ability to influence and persuade others within the organization and (b) be a self-starter with the ability to multi-task and prioritize numerous work assignments in a demanding environment.Ability to provide quality references from appropriate current or former clients attesting to candidate having the requisite skill, judgment, and personality for the position. Compensation:Depends on qualifications. Clearwire generally offers compensation (consisting of both cash and non-cash compensation) and other benefits to its employees which are competitive with other similarly situated companies in the same or similar industry.
