Description Purpose:
Senior Manager, SEC Reporting & Technical Accounting - 150K

A multi-billion dollar Hardware company located in the South Bay is currently looking for a Senior Manager of External Reporting & Technical Accounting who will be responsible for a wide variety of external reporting responsibilities, technical accounting issues, merger & integration tasks as well as special projects. This position has very high visibility reporting directly to the Director - External Reporting, Technical
Accounting and M&A and will have between 1 and 3 direct reports.

Specific duties will include:
•Manage all External Reporting tasks, including: Reviewing and drafting SEC and other regulatory filings
•Interfacing with external auditors, Investor Relations & other groups
•Acting as the SOX lead for the External Reporting function
•Manage the Technical Accounting function, including: Supporting External Reporting, Corporate Finance, sites and management with technical accounting needs
•Performing accounting research of technical accounting issues including purchase price accounting, impairment reviews and analysis, revenue recognition, FAS123-R etc.
•Developing and providing training to domestic and international locations on technical accounting issues such as revenue recognition and other accounting matters.
•Monitoring new accounting standards and create working solutions
•Reviewing complex accounting entries and related issues such as purchase accounting, derivatives and restructuring. Provide technical accounting assistance with special projects
•Manage the Finance M&A and Finance Integration function and related processes, including: Providing project management for both internal and external efforts on due diligence projects
•Leading accounting due diligence on acquisition targets
•Preparing and presenting accounting due diligence findings
•Evaluating accounting and financial implications of potential acquisitions
•Providing US GAAP and SEC accounting and reporting technical guidance to Accounting and Corporate Finance teams related to acquisitions
•Preparing preliminary and final purchase accounting related to acquisitions
•Assisting with preparing SEC and other filings related to acquisitions (1933 Act filings; Form 8-Ks)
•Preparing pro forma financial information in accordance with SEC requirements related to acquisitions/disposals
•Providing project management and monitoring the finance integration of acquired businesses and other ventures, including establishing an Integration Management Office and working with cross-functional & finance teams to drive finance integration of acquisitions

The person who will fill this challenging position will be a recognized leader in his or her current company who is ready to make a career change. They will have a BS degree in Accounting or Finance (or the equivalent) a CPA and 7 to 10 years of relevant experience, either as a Manager/Senior Manager or an equivalent position at a big 4 public accounting firm or similar SEC reporting and technical accounting experience in large public company.

As a result of their experience, they will have a solid understanding of complex accounting rules and related interpretations so accurate guidance can be provided to key decision makers. Experience in M&A accounting and integration and/or software accounting experience is highly desirable. On a personal level, they will be a self-motivated, results oriented individual with the ability to work well within a team structure and effect change cross functionally. They will need exceptional verbal and written communication, interpersonal and presentation skills as well as outstanding organizational, management, analytical, decision-making research skills.
