Sr Corporate Paralegal – Corporate Governance

Job Description


Financial Engines has an immediate opening at our Sunnyvale location for a paralegal to assist with all SEC reporting and corporate governance matters.  The ideal candidate will have law firm training as well as four to seven years of substantive paralegal experience with a public company.  The paralegal reports to the Associate GC, Corporate Governance.
 
Primary responsibilities:
  • Assist with preparation of Board and Committee meeting materials, including detailed agendas and board books.
  • Assist attorneys with the word processing, proofreading, preparation and filing of securities filings such as Form 10-Qs, 10-Ks, and 8-Ks, and Proxy Statements; maintain backup files.
  • Assist with Board portal vendor choice, oversee implementation and launch of portal.
  • Set up and manage calendar for Board and committee meetings; track attendance. 
  • Manage quarterly 10b5-1 plan process, preclearance, and notification of open trading windows.
  • Prepare, distribute and coordinate annual D&O questionnaires.
  • Work with equity manager and transfer agent to coordinate all mechanical aspects of Annual Meeting and Proxy, including mailing, voting, and script.
  • Coordinate annual Board and Committee self-assessment process.
  • Assist with maintenance of the corporate records and Board documentation.
  • Draft minutes and consents and arrange for signature and distribution.
  • Coordinate litigation holds and discovery (electronic and paper), working closely with other departments as needed.
  • Assist with responses to subpoenas, document and deposition requests.
  • Complete state and foreign annual and other filings.
  • Conduct legal research.
  • Review outside counsel invoices.
  • Special projects and other duties as requested.
 
Skills and

Job Requirements


  • Minimum 4+ years experience; both law firm and public company in-house experience.
  • Significant experience with corporate governance processes and preparation of SEC filings.
  • Impeccable written and oral communication skills, including ability to effectively work with various departments and levels within Financial Engines.
  • Strong process and knowledge management skills.
  • Proficiency with Microsoft Office, PowerPoint and Excel. Project management experience a plus.
  • Keen attention to detail.
  • Excellent judgment and delivery-oriented attitude. 
  • Demonstrated ability to contribute immediately in a challenging and fast-paced environment.
  • Sense of humor, professional work ethic and teamwork.
  • Understanding of legal research methodologies.
  • Unquestioned discretion handling confidential information.
  • Experience with eDocs or similar document management system.
  • Excellent academic credentials.
  • Notary public.
  • Must have the ability to fluently speak, read, write, and understand the English language.
  • BA or equivalent from an accredited college or university. Paralegal certificate preferred.
  • Local candidates preferred. Services will be performed at our Sunnyvale offices.
