Established in 1977, Biomet is a family of companies that has enjoyed steady growth at levels exceeding market expansion. Biomet's performance demonstrates a responsive, customer-oriented approach to the health care market. Biomet thrives by strengthening its commitment to innovation and partnership.
Biomet prides itself on its unconventional profile:
the responsiveness and innovation of a small company,
with the resources and market presence of a large company.
Biomet, Inc. and its subsidiaries design, manufacture, and market products used primarily by musculoskeletal medical specialists in both surgical and non-surgical therapy. Biomet’s product portfolio encompasses reconstructive products, including orthopedic joint replacement devices, bone cements and accessories, autologous therapies and dental reconstructive implants; fixation products, including electrical bone growth stimulators, internal and external orthopedic fixation devices, craniomaxillofacial implants and bone substitute materials; spinal products, including spinal stimulation devices, spinal hardware and orthobiologics; and other products, such as arthroscopy products and softgoods and bracing products. Headquartered in Warsaw, Indiana, Biomet and its subsidiaries currently distribute products in approximately 90 countries.
Biomet 3i, Inc. was co-founded in 1987 by a periodontist and an engineer. The clinician believed his patients deserved better fitting and better looking implant restorations than could be accomplished with available implant systems. The engineer specialized in metallurgy and high-precision manufacturing. Together, they began designing and producing restorative components for use with existing implant systems that set new standards of quality, fit and aesthetics.
Biomet 3i Inc. began manufacturing its own implants in 1991 and in 1995, merged with its strategic partner, Latham Manufacturing Company, to form the present-day 3i. In 1999, 3i was acquired by Biomet Inc., a leading manufacturer of orthopedic components, which greatly enhanced 3i’s R & D resources and potential for growth.
Today, 3i offers one of implant dentistry’s most comprehensive lines of implants and abutments, augmented by a growing line of regenerative products. 3i pioneered the development of biologically driven implants, winning worldwide acclaim for the microtextured surface and superior clinical success rates of the OSSEOTITE® implant.
Of equal importance, 3i brings the same innovation, high standards and comprehensive approach to customer service, support and education. Our sales representatives are trained in both technical and clinical dental issues. Our technically oriented customer service staff is relied upon even by customers of other implant manufacturers. A superb warranty program and a broad range of professional enhancement and practice-building programs are further proof that 3i is intensely committed to being a partner our customers can count on to come through for them every time, in every way.

We have some exciting news to share with you in the continued development and growth of 3i . On Monday, August 30th 1999, it was announced that 3i entered into a definitive agreement to merge with Biomet Inc., one of the leading orthopedic companies in the world. As a result of the merger, 3i will become a subsidiary of Biomet.
We would like to alleviate any concerns that you may have concerning this announcement, given the turbulence which has underscored other mergers in our industry. Ours is truly a synergistic merger of companies and product lines that avoids the duplication of effort and personnel that could otherwise be disruptive. There will be very little change in the day to day operations of 3i as a result of the merger. The management and general organizational structure of the company will not change, and this includes the two of us, who plan on continuing our active roles in the business. The principles on which the company has been founded and operated will continue to govern our policies and actions on a daily basis. We will continue to operate as a distinct company under the 3i name, dedicated to the dental implant business. Our goal is to remain highly responsive and innovative in our pursuit to exceed your expectations with respect to dental implant and regenerative products used to treat your patients.
We are very excited about the advantages of our new association with Biomet and are confident that it will be to the benefit of the entire 3i family, our customers and your patients. Biomet Inc. is a publicly traded company and is a leader in orthopedics. They are a strong company with a market value of approximately $4 billion and have had consistently strong growth in revenues, profits, and stock value. Since the orthopedic industry is also focused on implants that are placed in bone, we have much in common in the science, products and technologies we use and are developing. Biomet has many interesting products in development that could be very synergistic with our own needs. We believe some of these products may be instrumental in allowing 3i to apply leading edge technology for application in the dental field. In addition, some of the research activities and knowledge of implant surfaces at 3i may help Biomet to develop more competitive products in the orthopedic arena.
We would also like you to know something about the schedule and sequence of events for this transaction. A merger agreement has been approved signed by the company's respective boards. We have jointly issued a press release announcing the agreement. However, the transaction will not be finalized until approval is received from the appropriate government organizations which should occur before the end of the year. Until then, we remain completely separate companies.
We think this is a very positive event in the growth and development of 3i and we are looking forward to the future. Our focus will remain on you, our valued and greatly appreciated customer. In closing, please know that your business and personal relationships have been, and will remain, invaluable to our successful growth. Thank you!
Yours truly,
Keith D. Beaty
